General Terms and Conditions for aizoplan

1. Introduction

These General Terms and Conditions (“Terms”) govern your use of aizoplan, an enterprise digital transformation SaaS solution (the “Solution”) provided by iTransform365 (“iTransform365,” “we,” “us,” or “our”). Please read these Terms carefully before using the Solution. By accessing or using the Solution, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Solution.

2. Definitions

In these Terms, the following terms have the following meanings:

• “Account” means your aizoplan account, which you create by registering with iTransform365.
• “Authorized User” means an individual who is authorized to access and use the Solution on your behalf.
• “Confidential Information” means all information disclosed by one party (the “Disclosing Party”) to the other party (the “Receiving Party”) that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.
• “Documentation” means the tutorials, and other documentation provided by iTransform365 for the Solution.
• “Fee” means the fees that you agree to pay for the Solution.
• “Intellectual Property Rights” means all patent rights, copyright rights, trademark rights, trade secret rights, and other intellectual property rights in the Solution.
• “Subscription Term” means the initial term of your subscription to the Solution, as specified in your Order Form.
• “Term” means the period during which you have a subscription to the Solution, including any Renewal Term.
• “User” means any individual who accesses or uses the Solution, whether on your behalf or otherwise.

3. Subscription

3.1. To use the Solution, you must purchase a subscription from iTransform365. You may purchase a subscription by contacting iTransform365 sales.

3.2. Your subscription will begin on the date that iTransform365 provides you with access to the Solution and will continue for the Subscription Term specified in your Order Form.

3.3. Unless you terminate your subscription in accordance with these Terms, your subscription will automatically renew for additional Subscription Terms of the same length as your initial Subscription Term, unless you notify iTransform365 in writing at least thirty (30) days before the end of the then-current Subscription Term that you do not wish to renew your subscription.

3.4. You are responsible for paying the Fees for your subscription in accordance with the terms of your Order Form.

4. Use of the Solution

4.1. You may use the Solution only in accordance with these Terms and the Documentation.

4.2. You may not:

• Use the Solution for any unlawful or unauthorized purpose;
• Use the Solution to harm, abuse, or harass others;
• Interfere with the use of the Solution by others;
• Attempt to gain unauthorized access to the Solution or any part thereof;
• Copy, modify, or distribute the Solution or any part thereof;
• Use the Solution in any way that is contrary to any applicable law or regulation.

5. Intellectual Property Rights

iTransform365 owns all Intellectual Property Rights in the Solution. You are granted a non-exclusive, non-transferable license to use the Solution in accordance with these Terms. You may not copy, modify, or distribute the Solution or any part thereof without the prior written consent of iTransform365.

6. Confidential Information

6.1. You agree to keep all Confidential Information of iTransform365 confidential. You will not disclose Confidential Information of iTransform365 to any third party without the prior written consent of iTransform365.

6.2. You will use the same degree of care to protect Confidential Information of iTransform365 as you use to protect your own confidential information, but in no event less than a reasonable degree of care.

7. Termination

7.1. iTransform365 may terminate your subscription to the Solution immediately upon written notice to you if:

• You breach any of these Terms.
• You fail to pay any Fees due to iTransform365.

7.2. Upon termination of your subscription, you must immediately cease using the Solution and all copies of the Solution in your possession or control.
